We’re looking for a
Vice President, Business Integration
to join us in London.
Job purpose
The VP, Business Integration (BI) plays a key leadership role in all Merger, Acquisition and Venture activity
in the Liberty Global (LG) ecosystem. The role ensures that the Finance agenda is represented in all
transactions and across the investment portfolio by applying consistent principles and leveraging
team expertise. The VP, BI will develop and stress test the business plan, synergies, capital structure
and transitional service agreements to guarantee each transaction and venture result in long term
value creation for LG shareholders beyond the headline deal multiple.
BI also acts as a talent incubator developing key skills to deploy into leadership positions across the
LG Federation. The BI team is responsible for ensuring cross functional alignment between Strategy, M&A and Central
Finance teams for any LG transaction activity within the LG Federation (FMC and Ventures
businesses) BI also supports the development of existing ventures and the development of new Businesses
across the LG ecosystem What will you be doing?Steer discussions with the M&A team to embed Finance requirements into the deal structureEnsure a strong focus on Working Capital, Tax, and Interest to create an accurate
view on Free Cash Flow generation Coordinate with the M&A and Strategy teams to ensure the findings from financial
due diligence are accurately reflected in business plan Coordinate with all relevant Finance Pillars: Accounting & Reporting, Investor Relations, Local
Finance, Internal Audit, PF&F, Procurement, Tax and Treasury to create a consistent
approach to deals Lead Financial Due Diligence including negotiations and hiring of external advisorsLead and structure end-to-end engagement process, guiding advisors on key deal
items from a Liberty Global perspective whilst aligning with internal deadlines Ownership of Synergies / Dis-synergies based on bottom up analysis backed by historic
benchmarks and lessons learned Create synergy estimates and coordinate with the Strategy and M&A team to ensure
these are accurately reflected in the business plan Stress test and challenge all assumptions to ensure accuracyDuring the diligence phase, lead the cost synergy validation processLead all separation activities and day-1 readiness activities and closely monitor timelines and
costs, ensuring collaboration across multiple work streams Design and implement corporate shared services ensuring a balance between purchase price
and transitional service revenue Ensure standardized CAR approach for the evaluation and performance monitoring of all
acquisition plans Post signing, play a key role in the integration planning process with a strong focus on synergy
delivery and Day 1 readiness Post closure ensure synergy realization and provide analysis of targeted versus achieved
synergy results Work with the Legal, People and M&A teams to create governance frameworksOversee the Framework Service agreements for Corporate servicesSupport local teams in the delivery of integration plans across LG affiliatesCoordinate post acquisition integration in conjunction with various LG groupsIdentify financial integration issues and direct the project team to facilitate a
successful integration and seek to improve the integration process based on
benchmarks Ensure current and prospective portfolio investments align to LG Finance Standards and
Principles
We tend to look for people who are/have: Strong experience in Bulge Bracket Investment Banking or Big 4 Transaction Services experienceUndergraduate Degree in Finance, Accounting or EconomicsMBA, CFA or CPA preferred but not requiredStrong Leadership presence with a creative and collaborative approach to complex problem solvingEngaging communication style
