Senior Corporate Governance Counsel - Oil Trading Company

Our Client is a highly successful and ambitious energy trading business, based in Central London, with an excellent legal team who are looking to grow the team to help supporting the expanding business. This role is a fantastic opportunity for a 5-10PQE Corporate lawyer, ideally coming from an Oil Major, or similar commodities industry, who is looking to advance their career, reporting to and working closely with the GC and senior stakeholders. This role will primarily be accountable for providing corporate and commercial legal advice and support to the commodity trading teams of the business but will also support members of the Legal team with advice on a diverse range of other commercial legal issues and a strong emphasis on corporate governance.

Your key responsibilities:
Providing corporate legal advice and support to the company’s commodity trading teams including advising on new financing, offtake or commercial supply agreements relating to physical Crude Oil, Products, Biofuels, Gas, LNG, power, renewable and clean energy products.
Supporting the trading marketing & origination teams with the expansion of the company’s trading business into new markets and geographies including the strategic growth of its biofuels, renewables, power, new energy & carbon/trading emissions business either via organic company growth or mergers & acquisitions particularly in Africa and Continental Europe.
Advising on areas of corporate law, company secretarial and corporate governance pertaining to the company’s joint venture business and providing sound legal advice and training to the company’s leadership teams on aspects of company law, directors duties and corporate shareholder issues.
Advising the business with regard to miscellaneous company & commercial non-trading agreements such as IT, analysis/data subscription agreements, employment and lease agreements.
Assisting the Head of Legal and leadership team with building the growth and capability of the legal & compliance function to a first-class standard including driving the development of the team’s legal operations, training and internal know-how.
Your skills and experience:
Deep experience of working in the energy sector, along with an established track record of advising on corporate and company law issues.
If from private practice, ideally at least 6 months spent on secondment to a commodity trading company, bank or an in house corporate/commercial team.
Good understanding of the energy trading industry with a solid background in a corporate or commercial discipline.
Solid corporate governance experience and a commercial mindset.
Knowledge of the refining and trading of Crude oil, Products and/or LNG, gas & power trading agreements, clean energy products and renewables.
Experience of advising on corporate law in Continental European jurisdictions would be advantageous
