In this Assistant role, you will assist the Deputy Company Secretary in providing a high-quality company secretarial service for the plc and its global subsidiaries. There is also a Company Secretarial Assistant in the team who you will mentor and manage.
The focus of the role will be management of company secretarial support for global subsidiaries, including supporting integration of acquired subsidiaries into the group and ensuring delivery of associated corporate actions. In addition to global entity management, the role holder will support the Deputy Company Secretary in managing the plc’s corporate calendar and obligations, including support for plc Board meetings. The role will involve drafting annual report and annual general meeting documentation, scheduled corporate announcements, and other company secretarial briefing notes and communications as required, and the role holder may be expected to deputise for Deputy Company Secretary in their absence.
Alongside these company secretarial responsibilities, this role will also carry out the day-to-day administration of the Group’s share incentive plans (currently discretionary), working with the Group’s external share plan administrator and registrar, reporting to the Deputy Company Secretary as required.
This role would suit a qualified candidate who would enjoy working in a small, friendly, supportive team environment (3 people – Deputy Secretary, this Assistant role and the Co Sec Asst), and who wants to get involved in a wide variety of work. You should have demonstrable global entity management experience and experience of share incentive scheme administration. You should also feel ready to take ownership of certain areas of work, and be ready to manage your own projects, be comfortable with the day-to-day technical work and be happy to “run the departmental mailbox and workflow”, as well as taking on a managing and mentoring role for the company secretarial assistant within the team.
This is a fast-paced organisation, which is growing continually, and a recent acquisition has meant the company has increased in size by 50% and added many new international subsidiaries to the organisation’s structure, so there is plenty to get stuck into!
