Lawyer/Senior Lawyer/Senior Legal CounselFull-time permanent position based at The Shard, London - Hybrid working.NOTE: We will consider candidates for both grade D (Lawyer), and C (Senior Lawyer/Senior Legal Counsel). The below responsibilities may vary according to the seniority of the role, but offer a broad indication of the main activities involved in the job.Job purpose:To provide advice on a broad range of legal issues across every aspect of the Company’s operations and to ensure compliance with a sophisticated legal and regulatory framework including international considerations.To contribute to the provision of comprehensive corporate governance, legal and regulatory advisory services to SHG, its shareholders and directors.Key responsibilities:§ Provides accurate, relevant and timely advice, guidance and assistance to the Company in respect of legal and regulatory matters arising across all segments of its business.§ Provides accurate, relevant and timely advice on legal aspects of proposed projects, strategic initiatives and new business opportunities.§ In close collaboration with the relevant departments of the Company, drafts, negotiates and arranges execution of agreements (including KYC) on behalf of the Company in compliance with internal processes and applicable legal and regulatory requirements.§ Provides accurate, relevant and timely advice on legal issues arising in the implementation of the Company’s agreements.§ Supports the Company Secretary to ensure compliance by the Company, its shareholders and directors with corporate governance requirements (statutory, regulatory and contractual), including preparing board and shareholder resolutions and materials for board and shareholder meetings, logistical organisation of board and shareholder meetings and ensuring all filing obligations are satisfied.§ Contributes to the review, drafting and implementation of the corporate governance and legal and regulatory compliance frameworks of the Company, consistent with applicable law and contractual requirements.§ Prepares and gives tailored training sessions on relevant legal areas/new developments to the Legal department and wider Company.§ Prepares and leads internal compliance training sessions.§ Develops and updates standard form contracts in coordination with General Counsel and Paralegal (and external legal counsel as required) to streamline the Company’s commercial activities.§ Cost-efficient use of external legal resource.§ Covers for the General Counsel on an ‘as needed’ basis.Qualifications§ Qualified as a Solicitor of the Courts of England & Wales.Experience§ 2 years+ PQE with oil & gas industry experience (ideally focussed on transactions, projects, commodity trading or shipping) gained in private practice or in-house.§ 1 year+ in-house experience (ideally oil & gas).§ Involvement in oil & gas commodity trading transactions (including familiarity with industry standard forms) and/or shipping matters.§ Experience of governance, accountability and regulatory matters affecting the energy sector.§ Exposure to company secretarial matters (drafting resolutions, minutes etc).Expertise§ Up-to-date knowledge of applicable English law.§ Excellent interpersonal skills with the ability to communicate and collaborate effectively and appropriately with colleagues and stakeholders (internal and external) at all levels.§ Excellent oral and written communication skills.§ Ability to work independently and accurately to demanding deadlines.§ Ability to organise and implement complex projects.Competitive package based on experience. Including;§ Basic salary: £70-155,000 dependent on experience (Grade D or C)§ Non-contractual, performance-based bonus.
