Reporting to: the CEO
Work Pattern: This is a full-time role. The successful candidate will work from our office in
either Nottingham or Usk 3 days per week and work 2 days per week from their home office. The candidate will need to be located within commuting distance of either offices.
The successful candidate should expect to travel up to 20% on average per year within
the UK (and potentially internationally in the future) as we have 3 facilities in the UK.
Our Team: Independence Products Ltd (IPL) currently employs 45 staff, with plans to rapidly
expand.

Company Description
IPL is an established UK supplier of medical products designed to improve the quality of life of
patients with chronic medical conditions. IPL was established in 2006 and now has over 45 employees
based across the United Kingdom who are all passionate about providing high-quality products that
meet the individual needs of our customers. IPL provides services direct to patients through the
Independence Direct (ID) home delivery service and sells through wholesale and distribution trade
channels.
The Company’s initial focus was on a range of products designed to overcome common problems
experienced by patients living with a stoma. Over recent years, the focus has shifted to help
dialysis patients shower safely with the introduction of a range of specialist prescription
products for patients fitted with CVCs for Haemodialysis.
As we grow, we also expect to be serving patients in Oncology, Intensive Care and Diabetes. We have
exciting plans to increase our footprint in the UK and Europe, by extending our reach both
organically and via acquisition. As Head of HR & Corporate Governance, you will be a central part
of this strategy, working on the development of our existing employees and management teams as well
as newly integrated staff as we grow.
Head of HR & Corporate Governance Role
Human Resources Leadership Responsibilities & Duties
Working alongside the Management Team to optimise organisational design and implement
best-practices that support sustainable performance, organisational stability, and award- winning
culture
Working strategically to plan for the future of a growing business, from a people, policy, and
cultural standpoint
Serve as subject-matter expert to managers and directors
Implement change based on proven change management techniques
Champion continuous development through learning and development frameworks for managers and
employees across the business
Champion performance-orientated across the organisation, bringing tools and know how to managers to
unlock our potential
Execute HR business strategies to drive key business results; provide guidance on HR matters,
partnering with managers to develop needed solutions
Champion ethical behaviours and conduct in everything we do
Shape and implement company-wide policies and procedures throughout the organization; educate
managers on the application of policies and practices to develop harmonious culture
Seek ways to proactively improve organisational processes and outcomes; implement solutions that are aligned and consistent with global HR best practices
As the business grows, develop an HR team to facilitate consistent service throughout the
organisation
Lead Employee Relations. Facilitate difficult interactions among organisational stakeholders to
achieve optimal outcomes; resolve escalated conflicts among stakeholders and provide management
training therein to support a growing organisation
Maintain broad-based knowledge of the organisation and its operations; use knowledge of business
and HR metrics to facilitate business decisions
Partner with leaders and managers to proactively implement business solutions, utilising HR
expertise and perspective
Align solutions with business unit HR strategy and advocate solution implementation
Execute programs, policies, and procedures to drive an engaged top-performing organisational
culture
Implement and deliver solutions and interventions that address issues of retention, change
management, employee engagement, and leadership development, partnering with subject- matter
experts as appropriate
Interpret data and make recommendations; ask critical questions needed to evaluate data; gather,
analyse, and present data to managers and recommend solutions that support the culture and defined HR strategy
Corporate Governance Leadership & Responsibilities
Provide expert advice and support to Management (and the Board as required) on all matters relating
to corporate governance, statutory and legislative compliance, and interpretation
Ensure compliance with regulatory frameworks and other best practice in corporate governance
Provide expert advice to management on employee, corporate and other business matters regarding
proper business conduct to mitigate identified risks
Provide briefings for management regarding legal advice where necessary to ensure efficient
and effective resolution of issues.
• Assess the governance implications of papers put to the Board and take pro-active steps to
address them
• Review, redesign, and continuously improve the corporate governance arrangements across the
company including regular cadence of reporting and communication.
• In conjunction with the CFO, ensure Standing Financial Instructions are similarly in place,
reviewed and acted upon by the Board
• In conjunction with the SIRO, develop systems, control process, risk management and board
assurance arrangements that comply with internal and external governance and best practice
requirements and contribute to continuous improvement of the quality of risk information
particularly in the areas of key controls
• Act as Data Protection Officer for the Group.
• In collaboration with the CFO; design, develop, operate and continuously improve procedures to
ensure that the company complies with the requirements of the statutory and regulatory framework
and required audits. Continually monitor to ensure corporate governance within the NHS Bodies.
• Provide executive oversight on the corporate Quality Management System and Risk
Register.
• Coordinate on ESG, working with internal and external stakeholders to deliver Company
plans
• Provide expertise on Sustainability in relation to People aspects of ESG; develop and implement
plans for adherence to national standards, promoting best-practice in this regard
Experiences and Profile
This is a senior post and and the successful candidate will have a demonstrable track-record in the following;
Has 10 Years + in HR Leadership roles, demonstrable experience including partnering with
multiple functions and senior leaders.
The ideal candidate will have experience in the healthcare services, biotech or medical technology
and devices and have a sound knowledge of the NHS.
Professional qualifications including MCIPD or equivalent.
The ideal candidate will have legal services sector experience and corporate governance experience.
The ideal candidate will have worked in PE backed and or privately owned organisations. The ideal
candidate will have demonstrable experience in change management including integration post M&A
Has a strong desire to influence culture through learning and development programmes Is
commercially astute and thrives in a growth organisation
Brings a sounding board to the CEO
Brings a balance of ‘empathy and no-nonsense’ to the team surrounding them Brings a clear voice to
the leadership table, and supports managers to do the same
Strong facilitation, consulting, relationship-building, influence, negotiation skills, and project
management skills
Demonstrated business and analytical ability with a proven ability to build relationships and
influence different groups
Demonstrates ideation, strategy and execution ability across HR and Corporate Governance Capability
to interact with individuals at all levels within the organisation
Skilled with leading transformation and change processes across the organisation
Advanced written, verbal, and interpersonal communication skills
Can easily pivot from strategy to execution and enjoys this multi-faceted type of role Hands-on,
sleeves up mentality
Exercises sound, independent judgment with strong attention to detail
Balances head and heart decision making, and has a playbook for managers to adapt to optimise team
performance and stability

to the business
Effectively facilitate discussions with and delivers communication to large groups of people
Ability to handle multiple concurrent tasks and changing priorities
Capability to lead the organisation in matters of corporate governance including (but not limited to) policy, practice, legal, ESG and audit.
