Allianz UK is the UK general insurance business ofAllianz, with commercial and personal general insurance includingunder the Allianz, Petplan and LV GI brands.Role DescriptionOur Headof Governance leads the company secretarial and governance team inensuring an effective system of governance which provides for soundand prudent management of Allianz UK.Key ResponsibilitiesSupports theChief Legal Officer & Company Secretary in ensuring a robust andproportionate corporate governance framework for the effective,entrepreneurial and prudent management of the business by the Board,executive management, senior managers and operationalcommittees.Ensuring that the Allianz UK operates within the law andcomplies with all relevant requirements in so far as they relate tomatters of corporate governance. This includes providing comprehensiveand effective advice and support to business, functional andoperational areas in relation to the Companies Act and applicablecorporate governance codes and other relevant legal, corporategovernance and regulatory requirements.Ensuring compliance with therelevant requirements of the Corporate Governance Framework of AllianzUK.Advises the Board and Committees of the Board of Allianz UK oncorporate governance, including their remits and Terms ofReference.Manages the Corporate Governance team to ensure thedischarge of role purpose and key accountabilities.Skills &ExperienceThe ability to lead and promote the development of goodcorporate governance policies and systems and obtain support for andadherence to the same including a sound understanding of theprinciples of corporate governance.Knowledge of all statutory,regulatory and administrative requirements related to companysecretarial law and practice, including under the UK CorporateGovernance Code and best practice and /or the Wates Code.Extensiveknowledge and experience of UK law, regulation and practice. Thisshould include being able to advise on corporate activities includingdisposals, mergers and acquisitions. Knowledge of relevant DirectorsRemuneration and Financial Accounts regulations andrequirements.Experience in collaborating with business colleagues toensure that matters referred to the Corporate Governance team arehandled promptly and effectively to assist decision-making within thebusiness. Experience working in colloboration with Compliance, Risk,Internal Audit and Legal colleagues to provide seamless management ofexternal and internal issues arising.Strong stakeholder relationshipmanagement skills and emotional intelligence, with gravitas andexperience to be comfortable working with seniorstakeholders.Extensive experience of managing a team, with the abilityto provide line management oversight of and support for team members,skilled in guiding, coaching and development of teammembers.Experience of functioning at Board or Senior Management levelwithin an international Group.QualificationsQualifiedsolicitor or barrister preferred, with significant experience in thefinancial services sector, ideally in the insurance sector.Member ofthe Institute of Chartered Secretaries and Administrators (ICSA) withappropriate practising experience.What We Will OfferYouRecognised and rewarded for a job well done, we have a range offlexible benefits for you to choose from- so you can pick a packagethat's perfect for you.
