About The Company
Brightwater Executive is delighted to be retained exclusively by our client, a market leading insurer, for the appointment opening of their Deputy Company Secretary. Based in London and reporting to the Head of Legal, this is a hugely exciting time to join their firm, post a notable strategic change for the group.
About The Position
This is a newly created role and will be responsible for the provision of company secretarial and governance services. You will support the Head of Legal on leading out the secretariat function to ensure robust and best in class corporate governance standards are met and that the group is compliant with all statutory requirements.
This role also includes advising the Head of Legal on changes in legislation affecting corporate governance and taking the lead role on the implementation of continuous improvements to governance processes and the Secretariat function.
Key Responsibilities
Deliver timely and best practice company secretarial support for Boards and Committees
Provide advice on and facilitate compliance with relevant statutory and regulatory company secretariat and governance requirements
Ensure policies, standards and governance documentation (including Terms of References) are appropriate, effectively communicated, continuously reviewed and updated to reflect internal/external changes
Coordinate director induction and onboarding.
Support and coordinating director training programme and Board effectiveness reviews
Liaise with external auditors and other external parties as required
KYC support to other functions
Support and coordinate corporate projects of business changes or continuous improvement initiatives, for example, corporate finance transactions, corporate reorganisations or closure of dormant companies
Contribute to the development of company secretarial practices, and advice to the business on the impact of company secretarial issues
Build stakeholder relationships
Ideal Skills And Experience Requirements
Chartered Secretary (ACG or FCG) or lawyer with experience gained in a regulated environment (FCA, Lloyds or PRA) at a senior level (ideally Board level)
Solid experience ideally within the insurance sector, of acting as Secretary for a portfolio of companies within a Company Secretariat team and ensuring applicable governance standards are met
Strong knowledge of corporate governance principles, including driving high quality governance standards, via credible and practical experience
Experience of dealing at Senior Management and Executive level and meeting their expectations
Proven ability to manage projects and foster relationships with senior personnel, third parties and external advisers
Minute taking capability, of a consistent high-quality standard and conducive to serving a regulated entity
Proactive and a desire to improve existing practices and innovate, with an ability to work on own initiative
Knowledge of Diligent Entities Secretarial software and Diligent Board books, or comparable software
Experience liaising with the Irish regulator (CBI) would be an advantage
