I am looking for a Company Secretary to lead governance with impact. This pivotal part-time position involves spearheading governance arrangements, serving as the Company Secretary.

As the Company Secretary you'll provide a comprehensive secretariat function, ensuring effective governance aligned with legal, statutory, and corporate requirements, along with delivering crucial legal advice.

Key Accountabilities for the Company Secretary: Governance:

  • Oversee governance and company secretarial arrangements.
  • Lead, manage, and mentor the Board Secretary.
  • Provide advice and support on strategy, governance, legal, and operational matters.
  • Support the implementation and governance of the organization's 'Development Fund'.

Committee Servicing:

  • Oversee processes for arranging, holding, and minute-taking for various meetings.
  • Attend meetings as required, providing administrative and Company Secretarial support.

Company Secretarial Administration:

  • Ensure timely completion and submission of Companies House requirements and statutory filings.
  • Manage communication with shareholders and investors.
  • Maintain the share register and oversee administration of share transactions.

Directors:

  • Oversee appointment/retirement formalities for directors.
  • Ensure Board succession-planning and relevant training programs are in place.

Legal:

  • Manage relationships with legal advisory relationships.
  • Provide legal support and advice to management, Exco, and the Board.
  • Support effective legal support to colleagues, including contract management and document retention policies.
