Company Secretarial Assistant (9 month FTC)

ROLE




An interesting and broad ranging role that involves providing professional support to the Company Secretariat team in carrying out its core company secretarial responsibilities; ensuring good governance, statutory compliance and meeting administration. The role reports to the Deputy Company Secretary.



MAIN RESPONSIBILITIES



  • Assist with the logistical arrangements for Chaucer Group Boards, Committees and Subsidiary Board meetings including the preparation of corporate calendar, sending and managing meeting invitations, booking meetings rooms and refreshments


  • Assisting with the timely preparation of Board and Committee papers, their upload on to Diligent Boards Portal and paper chasing process


  • Assist with the management of Statutory Registers and records on Diligent Entities and on digital Company folders


  • Prepare Statutory filings at Companies Houses using Diligent Entities


  • Assist with managing the Annual Overseas Subsidiaries governance process


  • Assist with the quarterly planning process, including preparation of forward agendas, minutes and Board and Committee Planners


  • Assist with creation and maintenance of Governance Documents, Structure Charts and Registers etc. and their maintenance on the Department intranet page as appropriate


  • Assist with year-end processes and Annual Accounts Approvals processes as they relate to CoSec

  • Respond promptly and positively to requests for service, information, and advice from Board and or Committee Members and colleagues across the business




  • Apply critical judgement to all governance administrative processes and actively identify and propose actions for improvement


  • Preparation of Committee minutes


  • Act as a point of contact for team queries and any other ad hoc Cosec duties as required




OUR REQUIREMENTS




RELEVANT EXPERIENCE




Essential



  • Excellent attention to detail and highly organised


  • Keen interest in Corporate Governance




Desirable



  • Educated to degree level or comparable business experience


  • ICSA qualification or keen to do so




TECHNICAL SKILLS




Essential




  • Experience of using MS Office Advanced report writing skills


  • Good verbal and written communication




Desirable



  • Knowledge of UK Companies Act


  • Knowledge of UK Corporate Governance Code


  • Diligent Boards and Diligent Entities



EDUCATION AND QUALIFICATIONS



  • Educated to degree level


  • ICSA qualification or keen to gain



PERSONAL SKILLS



  • Be able to work well under pressure, prioritise effectively and meet deadlines


  • Good communication skills (both verbal and written)


  • Self-motivated, as well as a strong team player with a keen sense of ownership and desire for continuous improvement


  • Integrity and high ethical standards, acting with discretion at all times
