Commercial Contracts Manager/Legal Counsel – Pension Software – Bristol
Location: Emersons Green (Hybrid working)
Salary: £55,000-£60,000 + bonus + benefits

The Job
The Commercial Manager/Legal Counsel works closely alongside the Commercial Director as a seamless team which plays a critical role to ensure our business deals are correctly captured and successfully implemented through robust contract management and ensuring associated risks are identified and mitigated. As a contracts expert, you will also use your expertise to safeguard our reputation by ensuring that the company strictly follows its guidelines and compliance procedures as well as give legal advice to management about relevant issues. You will effectively ensure legal and contractual conformity and minimize probability of risk exposure.
Working alongside all key stakeholders (internal and external) and subject matter experts, the Commercial Manager is an experienced and agile team player, able to listen and understand the wider business context and requirements, you be will confident to act as a constructive challenge to optimise the possible outcomes. The role is relatively new and still in the process of becoming fully embedded, recognised and understood within the business. Hence the Commercial Manger will work with the Commercial Director to assist in setting the correct strategy and direction for the commercial function and establishing effective touch points with the other business teams.
You will be responsible for:
Reviewing and/or drafting and negotiating new client contracts;
Reviewing and/or drafting and negotiating all client renewal contracts;
Drafting and advising on change orders, variations and statements of work, leading on assessment of contract impacts and establishing cadence for regular contract reviews;
Supporting effective contract management over the client contract complete lifecycle
Preparing and advising on early works agreements, proof of concept projects, NDA’s, teaming/co-operation agreements etc;
Supporting new bids and tendering with commercial review and effective drafting of proposals to optimise success whilst limiting risk
Flowing down head contract terms for sub-contracting
Providing guidance on business stage-gating process and leading on contract handovers ensuring business teams have good awareness of contract requirements.
Reviewing and/or drafting and negotiating all supplier contracts including those required by IT, Finance, Marketing, Compliance, HR and Facilities teams, driving use of Procentia standard terms.
Working alongside Compliance team to ensure compliance with applicable laws and regulations, adherence to our security and compliance requirements, supporting client/regulatory audits and assisting to facilitate the achievement and maintenance of new compliance certifications and regulatory standards.
Supporting new product launches with appropriate contractual documentation.
Educating and developing the business, establish ‘commercial team’ way of working through the introduction of new processes, policies, guidance notes, precedents and training/change management to improve contract creation, review, approval, signature, whole lifecycle management and storage/retention.
Creating business wide awareness and value of the commercial function and its empowerment of other functions through thoughtful collaboration and reporting.
Working with the Commercial Director to drive a commercial strategy which is consistent with overall business strategy. Identifying tools and ways of working that may assist with efficiency.
Managing and prioritising workload to set expectations in line with strategy.
Advising on contract disputes
Advising on protection of Intellectual Property rights
Managing and liaising with external lawyers, where required
Essential skills and experience required:
Proven experience ( min 3 years + PQE) as a Legal Counsel and/or Contract Manager in a business environment
Excellent knowledge and understanding of contract law and procedures
Outstanding communication skills
Extensive experience reviewing, drafting and negotiating high value commercial contracts;
Experience in supply chain procurement and management;
High degree of professional ethics and integrity
High judgement and ability to analyse situations and information
Knowledge of Data Protection requirements
Knowledge of application service and software licensing agreements
Team player
IT skills to include word and ppt
Calm in the face of complexity
Happy to accept a diverse and varying workload
Can demonstrate constructive push back where appropriate
