About the Role:

We are seeking a dynamic and experienced General Counsel to join our growing team and lead our legal and compliance efforts. As our first General Counsel, you will play a critical role in shaping our legal strategy, ensuring regulatory compliance, and mitigating legal risks as we scale our operations globally. The ideal candidate will have a strong background in start-up environments, extensive experience in understanding the European & US regulatory framework around business payments and lending, reviewing legal contractual engagements, setting up debt facilities, and a deep understanding of compliance and anti-money laundering (AML) regulations.

Responsibilities:

  • Develop and implement the company's legal and compliance strategy, aligning with business objectives and regulatory requirements.
  • Provide legal guidance and support across all aspects of the company's operations, including commercial agreements, corporate governance, intellectual property, and employment matters.
  • Oversee the negotiation and drafting of contracts, agreements, and other legal documents, ensuring compliance with applicable laws and regulations.
  • Lead the setup and management of special purpose vehicle (SPV) debt facilities to support our financing activities.
  • Design and implement robust compliance programs, including AML/KYC policies and procedures, to mitigate regulatory risks and ensure adherence to relevant laws and regulations.
  • Provide strategic advice and support to senior management on legal and regulatory matters, including risk assessments and dispute resolution.
  • Collaborate closely with cross-functional teams, including finance, operations, expansion and product development, to drive compliance initiatives and promote a culture of legal and ethical conduct.
  • Stay informed about emerging legal and regulatory trends, assess their impact on the business, and proactively advise on potential risks and opportunities.

Minimum Requirements:

  • Law degree from an accredited institution.
  • Extensive experience at a reputable law firm or in-house experience, preferably at a high-tech company or high growth startup in an international environment.
  • Extensive experience in setting up SPV debt facilities and managing financing transactions.
  • Strong understanding of compliance and AML regulations, with the ability to design and implement effective compliance programs.
  • Excellent negotiation, drafting and analytical skills, and commercial transactions experience.
  • Prior experience working with multinational customers and partners, preferably in technology-related agreements and SaaS.
  • Ability to effectively prioritise and manage multiple matters and conflicting priorities, while balancing legal and business concerns.
  • Experience with data privacy and security issues (CCPA, GDPR, etc.).
  • Exceptionally strong communication and interpersonal skills.
  • Strong knowledge of securities laws, investment regulations, and compliance requirements.
  • Attention to detail and a commitment to upholding ethical standards.
